CareVP helps organizations access and connect healthcare and market information. These Terms explain the rights and responsibilities that come with using our website, data services, APIs, Model Context Protocol (MCP) connection, and any other CareVP features we make available to you (the Service).
The Service is provided by Care Papers, Inc., a Washington corporation doing business as CareVP (CareVP, we, or us). You means the person using the Service and, when that person acts for an organization, that organization. Our Privacy Policy explains how we handle personal information.
1. Your agreement with CareVP
You must be at least 18 and have authority to act for your organization. By accepting these Terms in an account or ordering flow, signing an order that references them, or using the Service after these Terms have been brought to your attention, you agree to them. If you do not agree, do not use the Service.
A separately signed subscription agreement or order controls over these Terms where they conflict. A signed data processing agreement or business associate agreement controls for its specific subject matter. The Data Gateway Usage Policy supplements these Terms for API and MCP access; these Terms control if the two conflict. A purchase order does not change our agreement unless we expressly agree in writing.
These Terms do not retroactively amend a signed agreement or waive rights that cannot lawfully be waived. Section 16 explains how updates apply to existing customers.
2. What your access includes
CareVP organizes public and other lawfully available data and provides access to data, source references, derived measures, and analytical tools. Available features can also include organization workspaces, reports, or hosted analysis. Your access is limited to the products, datasets, tools, users, and usage allowances approved for your organization. A catalog listing, demonstration, roadmap, or platform-wide data count does not grant access to every dataset or promise that a feature is available to you.
During your authorized access period, we grant you a limited, nonexclusive, nontransferable right to use the Service for your organization's lawful business purposes, subject to your agreement and any source restrictions. You may connect a compatible AI client using a supported connection method. Compatibility depends on the client's capabilities and configuration; we do not promise support for every AI tool or version.
We may update the Service and its datasets, correct errors, or hold or remove data because of quality, licensing, security, or availability concerns. No uptime, response-time, support-response, or data-refresh guarantee applies unless included in a written agreement. For a paid subscription, we will not materially reduce the contracted core functionality during the paid term without providing a reasonable alternative or a proportionate refund for the affected unused service, except where required by law or to address misuse.
3. Your AI client and automated requests
You choose and pay for your own AI provider. A CareVP data-access subscription does not include your AI provider's subscription, tokens, inference, or other charges unless your order expressly says otherwise. Your AI provider has its own terms and privacy practices and is not acting as CareVP's service provider merely because you connect it to CareVP.
Your client decides which information to send to CareVP and how to use the results. Tool arguments may include part of your question or other context. Review the permissions you grant, the information your client sends, and its retention and model-training settings. Only enable integrations your organization authorizes.
You are responsible for requests made through credentials you control, including automated requests within the permissions you grant. Your client may make multiple requests to answer one question. Requests and returned records may count toward your agreed limits. Where a tool can change Workspace records or take another action, review the requested action and use your client's approval controls. Connecting a client does not give it authority to make purchases or change your subscription beyond the authority your organization grants.
CareVP data and citations do not make your client's final response a verified CareVP statement. An external model may misinterpret, omit, or add to a result. Disconnecting a client or revoking its credential stops future authorized access; it does not recall information already delivered to that client.
4. Accounts and credentials
Provide accurate account and billing information. Keep credentials confidential, give each person their own access where supported, and promptly remove access when it is no longer authorized. Do not share a member key or account between people or organizations, bypass organizational access limits, or expose keys in public code or documents.
Your administrators manage the access available to your organization's users. Tell us promptly about suspected unauthorized access at security@carevp.com. We may require additional verification or revoke a credential to protect the Service. These responsibilities do not excuse CareVP from its own obligations to protect information and provide the contracted service.
5. Public data, estimates, and responsible use
Public records can be incomplete, delayed, revised, or inconsistent. Reporting periods, facility identifiers, geographic boundaries, and measurement methods can differ. CareVP's organizing and quality checks do not eliminate those limitations. Review the sources, dates, definitions, coverage, and qualifications supplied with results and verify material findings before acting on them.
A projection, scenario, estimate, association, or risk signal is not an observed fact or a guarantee of a future result. Assumptions, source history, and the information you supply affect the result. Missing, suppressed, or held information is not zero. Preserve those distinctions when you summarize or share results. We do not guarantee increased revenue, savings, referrals, occupancy, reimbursement, regulatory compliance, or any other business outcome.
The Service supplies business information, not medical, legal, tax, accounting, investment, or other professional advice. Do not use it to diagnose or treat a person, determine an individual's eligibility for credit, insurance, housing, employment, or benefits, or make a decision for which law requires an authorized professional or a regulated consumer report. You remain responsible for your business decisions and any professional review they require.
Use referral, payer, prescribing, and market information lawfully. A public prescribing pattern does not establish an individual patient's diagnosis or a confirmed referral relationship. Information about rates or markets is not permission to coordinate prices, wages, bids, or market allocation, offer unlawful referral compensation, or engage in discriminatory or deceptive conduct.
6. Permitted use of results and source restrictions
You may use authorized results in your AI conversations and retain reasonable excerpts in your organization's analyses, presentations, and business records. You may share those work products with colleagues and professional advisers acting for your organization, and use limited excerpts in ordinary business communications, subject to confidentiality, source restrictions, and your agreement. This permission continues for work products lawfully created during your access period; it does not grant ongoing access to the Service or unrestricted redistribution of datasets.
Keep relevant source attribution, dates, qualifications, and notices with quoted data. For public-facing uses, identify CareVP and the actual sources, for example: Data via CareVP (carevp.com); sources: CMS and other U.S. public releases as cited. Do not imply endorsement by CareVP, a government agency, or an AI provider.
You may not systematically download, cache, or replicate datasets, reconstruct the CareVP warehouse, operate a substitute data service, or resell or sublicense access or dataset content without a written agreement. Ordinary authorized retrieval and inclusion of limited results in an AI conversation are permitted; bulk ingestion into a persistent retrieval index or training corpus is not. Do not use Service content to train or fine-tune a model without written permission and any necessary source rights. Use an AI account and settings appropriate for these restrictions.
Source-specific restrictions accompany and may further limit results. In particular, do not use lists of names and addresses contained in or derived from Kansas public records for prohibited sales solicitation, or transfer them for that purpose, under K.S.A. 45-230. A different permitted source does not remove a restriction on a record obtained from a restricted source. Ask us if the permitted use of a result is unclear.
These contractual limits govern access through CareVP. We do not claim ownership of public-domain facts or restrict rights you independently obtain from an original source.
7. Your content and sensitive information
You retain your rights in the business information, files, Workspace records, and instructions you supply (Customer Content). You are responsible for having the authority and lawful basis to provide it and authorize processing by CareVP and your chosen integrations. Submit only what is necessary for your business purpose.
You grant CareVP permission to host, process, transmit, and display Customer Content as necessary to deliver your requested features, evaluate and improve their accuracy, relevance, reliability, and usability as described in the Privacy Policy, maintain security, provide support, and comply with law. We do not acquire ownership of your Customer Content. We do not use private Customer Content to train or fine-tune AI models or expose it to another customer without your authorization. This permission does not authorize unrelated reuse of private Customer Content or disclosure to another customer. Operational usage records and product-improvement purposes are described in the Privacy Policy. More protective commitments in an existing agreement continue to apply.
Do not send patient or resident information, protected health information (PHI), medical records, Social Security numbers, payment-card details, or similarly sensitive personal information through MCP, the Data Gateway, Workspace fields, demo requests, or ordinary support messages. Those surfaces are for public-data access and business information; they are not PHI services and no business associate agreement applies to them merely because you are a healthcare organization. Business contact information is permitted where lawfully obtained and used.
A separately contracted feature may process PHI only if CareVP expressly authorizes that specific feature, the required business associate agreement is executed, and its required access controls are enabled. A BAA for another feature does not authorize sending PHI through MCP or a third-party AI client. Do not use the Service to identify people in de-identified data or circumvent suppression intended to protect privacy.
8. Acceptable use and ownership
Do not misuse the Service, interfere with its operation, introduce malicious code, probe or bypass access controls, evade limits, misrepresent your identity, access another customer's information, or retrieve a held value through another route to present it as approved. Security testing requires our written authorization. Reverse engineering is prohibited except where that restriction is not permitted by law.
CareVP and its licensors retain their rights in the software, organization of the Service, methodologies, documentation, branding, and other protected materials. Your rights in Customer Content and public-domain information are unchanged. You may use feedback you provide freely, and you grant us a nonexclusive, perpetual, royalty-free right to use that feedback to improve the Service; this does not authorize disclosure or reuse of your confidential business content.
9. Fees, renewal, and cancellation
Fees, billing frequency, usage allowances, overage charges, and subscription terms must be stated in your order or the checkout you accept. Requesting a demo does not create a paid subscription. We will not charge an undisclosed overage rate. AI-provider charges are separate as described in Section 3.
Renewal terms and the cancellation deadline are those disclosed when you order. If automatic renewal is not expressly disclosed and accepted, it is not created by these Terms alone. Cancel through the available billing controls or by emailing legal@carevp.com. Cancellation normally takes effect at the end of the paid term. Except where your agreement, these Terms, or law requires otherwise, fees for an already-started term are nonrefundable.
We will give at least 30 days' notice of a price increase for a renewal and a reasonable opportunity to decline renewal. You are responsible for applicable taxes other than taxes on our net income. Notify us promptly of billing errors. We may suspend access for an undisputed invoice more than 14 days overdue after notifying you; this does not waive amounts lawfully due.
10. Confidentiality and privacy
Each party will use the other's confidential information only to perform the agreement and will protect it using reasonable care. Access is limited to people and service providers who need it for that purpose and are subject to appropriate confidentiality obligations. This covers Customer Content and nonpublic business, technical, and commercial information, but excludes information lawfully public, previously known without restriction, independently developed, or lawfully received from someone else.
A party may disclose information when legally required, giving notice when permitted and reasonable assistance with protective measures. Confidentiality duties continue for five years after termination, and longer for trade secrets while legally protected and for personal information as required by law. Privacy rights and any signed data-processing obligations are not reduced by this section.
11. Suspension and termination
We may restrict or suspend access reasonably necessary to address misuse, a security risk, a legal requirement, or a material breach. We will give notice and an opportunity to resolve the issue when practical; urgent protection may require immediate action. We may terminate for a material breach not cured within 30 days after notice, or for a serious breach that cannot reasonably be cured. You may terminate for our material breach on the same basis.
We may discontinue a paid service on at least 30 days' notice unless law or an urgent security issue requires earlier action. If we discontinue it for convenience, or you terminate for our uncured material breach, we will refund prepaid fees for the unused affected period. No refund is due for termination caused by your material breach except as required by law.
Access and credentials end on termination. Export your own records using available features before access ends, or contact us for assistance. We handle retained information under the Privacy Policy and any signed agreement; termination does not instantly erase billing, security, or evidence records. Rights in lawful retained work products, confidentiality, unpaid fees, use restrictions, liability limits, and dispute provisions survive as appropriate to their purpose.
12. Warranties and limitations
We will provide paid services with reasonable care and skill and substantially in accordance with their contracted description. If you report a material failure, we will work to correct it. If we cannot correct it within a reasonable period, you may end the affected service and receive a proportionate refund for its unused prepaid term.
Except for express promises in your agreement and rights that cannot lawfully be excluded, the Service, public-source data, estimates, and beta features are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent permitted by law. We do not warrant that data or AI outputs are complete, current, or error-free. Beta features carry no service-level commitment unless agreed in writing.
To the extent permitted by law, neither party is liable to the other for indirect, special, incidental, consequential, or punitive damages, including lost profits or business opportunities. CareVP's aggregate liability arising from the Service is limited to the fees paid to CareVP for the affected Service in the 12 months before the event giving rise to the claim. A different limit in a signed agreement controls.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited. They do not limit a refund expressly promised above or eliminate statutory privacy rights. Your duty to pay agreed fees is not limited by this section.
13. Third-party claims
You will defend CareVP against a third-party claim arising from Customer Content that infringes another person's rights, or your unlawful or materially prohibited use of the Service, and pay damages or settlements resulting from that claim. This does not cover a claim to the extent caused by CareVP's breach, negligence, or misconduct.
CareVP does not undertake an obligation under these Terms to defend or indemnify you against third-party claims. Any such obligation must be expressly stated in a separate written agreement signed by CareVP.
If CareVP seeks a defense under this section, we must promptly notify you, allow you reasonable control of the defense, and cooperate at your expense. Late notice reduces your obligations only to the extent it causes prejudice. You may not settle a claim by admitting fault or imposing nonmonetary obligations on CareVP without our consent.
14. Disputes and governing law
Please contact legal@carevp.com first so we can try to resolve a dispute. Unless urgent relief is needed or a filing deadline would expire, both parties will attempt informal resolution for 30 days.
Washington law governs, excluding its conflict-of-law rules. Subject to nonwaivable rights and a different dispute process in a signed agreement, disputes will be brought in the state or federal courts in King County, Washington, and both parties consent to those courts. These Terms do not impose mandatory arbitration or waive statutory privacy rights.
15. General provisions
Both parties will comply with applicable law. You must not use the Service in violation of applicable export controls, sanctions, anti-bribery requirements, or source-use restrictions. Neither party is responsible for delay caused by events beyond its reasonable control, but it must take reasonable steps to limit the impact; this does not excuse accrued payment obligations or required privacy and security duties.
Neither party may assign its agreement without the other's reasonable consent, except to an affiliate or as part of a merger or sale of substantially all relevant assets, provided the successor assumes the obligations. The parties are independent contractors. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. Electronic signatures and notices may be used. These Terms and applicable written agreements form the entire agreement on their subject, without limiting rights or remedies for fraud.
16. Updates and contact
The date above identifies this version. For new customers, it applies when accepted. For existing customers, material changes apply only after at least 30 days' notice and the stated effective date, subject to any amendment process in a signed agreement. We will give notice by account email or a prominent in-product notice. Changes will not retroactively govern disputes or reduce protections for previously collected information contrary to law or prior commitments. Where affirmative agreement is required, we will obtain it.
